JAKARTA, Wednesday, 23 May 2018, PT Sarimelati Kencana Tbk, which is also known as Pizza Hut Indonesia is listing 604 million of new shares as a result from an Initial Public Offering (IPO) at the Indonesia Stock Exchange.


The offering period has been performed during the period of 17-18 May 2018, and allocation day was completed on 21 May 2018. The offering price is in the amount of IDR 1,100 (one thousand one hundred Rupiah) per each share and the cumulative shares being offered is in the amount of 604,375,000 shares, and as the result thereof, the company enjoys fresh funds in the total amount of IDR 651,888,545,000 (six hundred fifty one billion eight hundred eighty eight million five hundred forty five thousand Rupiah).


Simultaneously with the listing of 604,375,000 new issued shares or equal with 20% of paid-up capital resulting from initial public offering above, the company also recorded the existing shares owned by existing shareholders prior to the initial public offering in the amount of 2,417,500,000 (two billion four hundred seventeen million five hundred thousand) shares of issued and paid-up capital. Consequently the cumulative amount of all recorded shares by the Company at the Indonesian Stock Exchange is in the amount of 3,021,875,000 (three billion twenty one million eight hundred seventy five thousand) shares or equal with 100% of issued and paid-up capital during the initial public offering.


The proposed plan of utilization of the proceeds of initial public offering is 65% (sixty five percent) for Company’s working capital, among others to open new outlets or renovation of existing outlets of Pizza Hut Restaurant (“PHR”) and Pizza Hut Delivery (“PHD”). The Company intends to expand its outlets in the cities of West Java, Central Java, East Java, Sumatera, Kalimantan, Eastern Indonesia and other regions. The balance of 35% (thirty five percent) shall be utilised for refinancing Company’s current banking facilities. 


The Director of PT Sarimelati Kencana, Tbk., Jeo Sasanto believes the economic growth prospects in Indonesia is still strong, and it shall encourage the development of the restaurant sector, especially considering the increase of consumption growth of middle-class consumers in big cities in Indonesia. This trend is expected to support the growth in favour of the Company in the future. He also mentioned that the Company is focusing on food quality and menu variants that would be perfected for the middle-class consumer.



Highlight of the Company 


Pizza Hut is an international franchise of food restaurant originating from the United States of America that was established in 1958 by Dan Carney and Frank Carney. ThePizza Hut is famous for its Italian-American food including pizza and pasta, and other types of food. Pizza Hut currently engages in 16,0000 outlets located in more than 100 countries. 


As at 31 December 2017, the Company operates 347 outlets of PHR and 156 outlets of PHD covering 76 cities and regencies located in 28 provinces in Indonesia. The Company also operates a pasta factory in Jakarta, a sausage factory in West Java, dough ball factories in Jakarta and West Java, and commissary dough ball factories in West Java, Central Java, East Java, Bali, South Sulawesi and North Sumatera. 


The Company, in its capacity as the franchisee of Pizza Hut for the Indonesian territory, was established in 1987 with the shareholding structure of PT Sriboga Raturaya (90.99%) and Mountain High Investments Limited (9.01%).


As the franchisee in Indonesia, the Company reserves the right to develop and to operate Pizza Hut restaurants in all of Indonesia pursuant to the International Franchise Agreement (“IFA”) with Pizza Hut Restaurants Asia Pte Ltd (“YUM! Pizza Hut Asia”). The Company is a primary holder of license of all Pizza Huts in Indonesia, other than an outlet located in Bali airport. The Company has successfully achieved the awards of “Asia Franchisee of the Year” from YUM! Pizza Hut Asia for the periods of 2007, 2008, 2009, 2011, 2013 and 2017.


As a provider of food services in a country where majority of the population are Moslems, it is very important for the Company to obtain Halal Certification. The Company has obtained this Halal Certificate from the MUI since 1997. Up to the present, the Company maintains the validity of the Halal Certificate with a commitment to produce all of its food in compliance with Halal requirements and as such to provide enjoyment, surety and satisfaction to the consumers.
